TORONTO, Ontario, August 1, 2019 – Flow Capital Corp. (TSXV: FW) (“Flow Capital”) today announced its financial and operating results for the three-month and six-month periods ended June 30, 2019. Financial references are in Canadian dollars unless otherwise specified.
2019 Second Quarter Highlights

Financial Highlights
Recurring revenues from royalties and interest
Recurring royalties and interest earned were $1,475,000 and $3,003,000 for the three-month (Q2 2019) and six-month (YTD 2019) period ended June 30, 2019, respectively, compared to $1,130,000 and $2,174,000 for the corresponding periods in 2018. Recurring royalties and interest earned for Q2 2019 and YTD 2019 are up 31% and 38%, respectively, from the same period in 2018, due to royalties earned on new investments closed in the last twelve months and higher royalties due to growth from the existing investments.
Non-recurring revenues from buyouts, equity returns and fees
Cash of $236,000 and $361,000 was generated during Q2 2019 and YTD 2019, respectively, from the sale of shares of equity investments held in our portfolio. In the corresponding period in 2018, there were two buyouts that earned realized gains of $525,200.
Revenues
Revenues as reported under IFRS were $(510,000) and $1,544,000 for Q2 2019 and YTD 2019, respectively, compared to $2,382,000 and $4,233,000 for the corresponding periods in 2018. With the adoption of IFRS 9, certain non-cash items are recognized in revenue.
Revenues in the quarterly period were impacted by IFRS 9 net non-cash items of $(1,357,000) compared to $(591,000) for the same period in 2018. The non-cash amount of $(1,357,000) was made up of $(916,000) for adjustments to fair value, $(105,000) realized loss on investments written-off that were previously written-down to zero and $(336,000) for foreign exchange differences. Included in the adjustments to fair value was $(773,000) for the lower fair value of the equity instruments held and $(143,000) for fair value adjustments on various investments in the portfolio.
Operating Expense
Total operating expenses, excluding discontinued operations, were $1,023,000 and $1,991,000 for Q2 2019 and YTD 2019, respectively, compared to $1,315,000 and $2,520,000 for the corresponding periods in 2018. Operating expenses for Q2 2019 were $292,000 lower than the 2018 corresponding period due to $344,000 of restructuring costs incurred in 2018, offset by an increase of $20,000 in professional fees in Q2 2019. Operating expenses for YTD 2019 were $529,000 lower than for the same period in 2018 due to $656,000 of restructuring costs incurred in 2018, offset by an increase of $114,000 in professional fees for YTD 2019, due to costs of $99,000 incurred during the sale of the Global Partners business.
Adjusted EBITDA (1)
Adjusted EBITDA (1) was $965,000 and $2,004,000 for Q2 2019 and YTD 2019, respectively, compared to $495,000 and $617,000 for the corresponding periods in 2018. The increase in Adjusted EBITDA (1) for Q2 2019 and YTD 2019 compared to the corresponding periods in 2018 was due to Adjusted EBITDA (1) earned by the LOGiQ Global Partners business of $416,000 and $758,000 for Q2 2019 and YTD 2019, respectively.
Free Cash Flow (1)
Free Cash Flow (1) was $327,000 and $629,000 for Q2 2019 and YTD 2019, respectively, compared to $(159,000) and $(292,000) for the corresponding periods in 2018. Free Cash Flow (1) for Q2 2019 and YTD 2019 was $486,000 and $921,000 higher due to $399,000 and $741,000 of Free Cash Flow (1) generated from the LOGiQ Global Partners business during Q2 2019 and YTD 2019 compared to the corresponding periods in 2018.
Profit (Loss) After Taxes
Profit (loss) after taxes was $(1,001,000) and $(787,000) for Q2 2019 and YTD 2019, respectively, compared to $5,853,000 and $5,988,000 for the corresponding periods in 2018. The decrease of $6,854,000 and $6,776,000 in profit (loss) after taxes for Q2 2019 and YTD 2019, respectively, was due to a combination of non-cash items, the most significant being the bargain purchase gain of $5,459,147 recognized in the corresponding periods in 2018.
