TORONTO, Ontario, August 20, 2020 – Flow Capital Corp. (TSXV: FW) (“Flow Capital”) today announced its financial and operating results for the three-month period ended June 30, 2020. Financial references are in Canadian dollars unless otherwise specified.

2020 Second Quarter Highlights

  • Estimated book value at the end of Q2 of approximately $0.49 per share; year-to-date (YTD) growth of more than 8% from the book value at the year-end December 31, 2019
  • Completed a share consolidation resulting in 32,934,077 common shares post-consolidation
  • Q2 total revenue under IFRS $1,835,000; YTD $2,928,000
  • YTD net loss from continuing operations of $342,000

Flow Capital Financial Highlights Q2 2020

Revenues
Total revenues were $1,835,000 and $2,928,000 for the three-month (Q2 2020) and six-month (YTD 2020) periods ended June 30, 2020 compared to $(510,000) and $1,544,000 for the corresponding periods in 2019. Recurring royalties and interest earned were $1,296,000 for Q2 2020 and $2,226,000 for YTD 2020, a decline of 12% and 26% compared to $1,475,000 and $3,003,000 in the corresponding periods in 2019. The decline is attributed to royalty buyouts in the last twelve months and lower royalties due to non-payment from an existing investment.

Non-cash items included in revenue under IFRS, had a net impact of $322,000 in the quarterly period ended Q2 2020, compared to $(1,357,000) in the corresponding period in Q1 2019. This represents $724,000 for adjustments to fair value and $(402,000) for foreign exchange gain. Included in the adjustments to fair value was $646,000 relating to equity instruments held and $78,000 for fair value adjustments on various investments in the portfolio

Operating Expense
Total operating expenses were $1,328,000 and $2,307,000 for Q2 2020 and YTD 2020 compared to $1,023,000 and $1,991,000 for the corresponding periods in 2019. The operating expenses in Q2 2020 are higher, primarily on account of a one-time restructuring charge of $447,000.

Profit (Loss) After Taxes
Profit (loss) after taxes from continuing operations was $28,000 and $(342,000) for Q2 2020 and YTD 2020 compared to $(1,417,000) and $(1,138,000) for the corresponding periods in 2019. The improving profitability reflects the continued emphasis on cost efficiencies, growth in the fair value of the investment portfolio and no additional investments becoming distressed in the current year

Adjusted EBITDA(1)
Adjusted EBITDA(1) was $244,000 and $836,000 for Q2 2020 and YTD 2020 compared to $969,000 and $2,004,000 for the corresponding periods in 2019. The decrease in Adjusted EBITDA(1) for Q2 2020 and YTD 2020 compared to the corresponding periods in 2019 was mainly due to lower royalty and loan payment income, primarily on account of investments bought out.

Free Cash Flow(1)
Free Cash Flow(1) was $42,000 and $(35,000) for Q2 2020 and YTD 2020 compared to $327,000 and $629,000 for the corresponding periods in 2019, with the decline primarily due to $741,000 of cash flow in YTD 2019 contributed by the LOGiQ Global Partners business which was subsequently sold in Q2 2019.
